These Terms of Service ("Terms") govern your access to and use of the UpGreen platform ("Platform"), operated by UpGreen Ltd ("UpGreen", "we", "our", or "us"). By accessing or using the Platform, you agree to these Terms.

2. Services

UpGreen provides software and analytics tools that help users assess property portfolios, energy performance, retrofit opportunities, and compliance requirements. The Platform provides information, estimates, forecasts, reports, and analytical outputs for informational and decision-support purposes.

3. Customer Responsibilities

You are responsible for:

• Maintaining the security of your account credentials.
• Ensuring information submitted to the Platform is accurate.
• Reviewing Platform outputs before making business, financial, compliance, retrofit, or operational decisions.
• Ensuring you have the necessary rights and permissions to upload information to the Platform.

4. No Professional Advice

The Platform does not provide legal, engineering, surveying, financial, tax, valuation, investment, or other professional advice. Users should obtain independent professional advice where appropriate.

5. Subscriptions and Billing

Subscriptions are billed in advance on a recurring basis according to the selected plan. Subscription fees are payable in accordance with the pricing displayed at the time of purchase. Subscriptions renew automatically unless cancelled before the next billing date.

6. Cancellation

Customers may cancel future renewals at any time through the customer portal or by contacting UpGreen. Cancellation prevents future charges but does not affect the current subscription period.

7. Intellectual Property

The Platform, software, content, reports, designs, branding, and related materials remain the property of UpGreen or its licensors. Customers may use the Platform and its outputs for their internal business purposes only.

8. Data Processing

Customers retain ownership of information submitted to the Platform.

By using the Platform, customers grant UpGreen permission to store, process, analyse, and generate reports from information submitted to the Platform for the purpose of providing, maintaining, supporting, and improving the service.

9. Artificial Intelligence Features

Certain Platform features may use artificial intelligence to generate summaries, recommendations, insights, reports, or analysis. Users should review all outputs before relying on them for business, compliance, financial, retrofit, investment, or operational decisions.

10. Report Sharing

The Platform may allow customers to share reports or outputs with third parties. Customers are responsible for managing access to any reports or information they choose to share.

11. Privacy

Use of the Platform is subject to the UpGreen Privacy Policy.

12. Changes to These Terms

UpGreen may update these Terms from time to time. Continued use of the Platform after any update constitutes acceptance of the revised Terms.
